Important: Lurion assists with recognizing and responding to suspicious calls. It does not verify identity, authenticate a caller, guarantee that a call is safe, or replace your organization’s judgment, controls, or legal obligations.

01Agreement and eligibility

These Terms of Service (the “Terms”) are a binding agreement between Lurion LLC (“Lurion,” “we,” “us”) and the company or legal entity accepting them (“Customer,” “you”). They govern Lurion’s websites, applications, APIs, call-protection features, dashboards, reports, support, and related services (the “Service”).

By purchasing, creating an account, or using the Service, you accept these Terms. If you accept for an organization, you represent that you have authority to bind it. The Service is for business use only and not for consumers or anyone under 18. A separately signed agreement controls where it expressly conflicts with these Terms.

02The Service and its limits

Lurion may process live call or meeting content when activated, identify patterns associated with scams, fraud, impersonation, social engineering, or other risk, present warnings or suggested next steps, and create usage or incident records. Features and availability may change.

Automated systems may produce false positives, false negatives, incomplete analyses, delayed warnings, or incorrect suggestions. Caller statements, transcripts, risk scores, and Lurion outputs do not prove identity, authenticity, authority, intent, legality, or safety. You must independently verify sensitive requests and maintain human review and your own authorization controls.

The Service is not an emergency service, identity-verification service, insurance product, legal or financial adviser, or substitute for security controls, training, law enforcement, emergency services, or professional advice.

03Subscription, renewal, usage, and payment

Your subscription starts when payment is accepted and renews automatically each month until canceled. You authorize Lurion and its payment processor to charge the payment method on file for recurring fees, usage charges, taxes, and other approved amounts.

The Company Plan is $1,000 per month and includes 15 monitored hours per billing month. Additional eligible monitored time is $45 per hour, calculated proportionally from accumulated usage. Included hours expire monthly and do not roll over. Pricing displayed at checkout or in an order form controls.

Cancel before renewal by emailing founders@lurion.org. Cancellation takes effect at the end of the paid period. Unless required by law or stated in a signed agreement, all fees are non-refundable and non-creditable, including fees for partial periods, unused time or Service, usage already incurred, downgrades, or cancellation after renewal. Nothing limits a non-waivable refund right.

You are responsible for applicable taxes other than taxes on Lurion’s net income. We may suspend Service for failed or overdue payments. Billing disputes must be raised within 30 days, except where law requires otherwise.

04Customer responsibilities

You are responsible for your accounts, users, devices, systems, decisions, actions, and use of outputs. You must obtain all notices, consents, permissions, and lawful bases required to monitor, record, transcribe, analyze, store, or share calls, meetings, employee data, and third-party information. Requirements differ by jurisdiction and industry.

You will not use the Service unlawfully; violate privacy, recording, employment, intellectual-property, export, or sanctions laws; gain unauthorized access; disrupt or reverse engineer the Service except where law permits; evade limits or fees; resell without permission; upload malicious code; or facilitate fraud, surveillance, harassment, discrimination, or harm. You must keep credentials secure and ensure your users comply.

05Content, ownership, and providers

Customer retains its rights in material it provides (“Customer Content”) and grants Lurion a worldwide, non-exclusive license to host, copy, transmit, process, analyze, and display it as reasonably necessary to provide, secure, support, and improve the Service, comply with law, and enforce these Terms. Customer represents it has all required rights and permissions. Our Privacy Policy describes how we handle personal information.

Lurion and its licensors own the Service, software, models, designs, documentation, aggregated or de-identified data, and related rights. Feedback may be used without restriction or compensation. Lurion may use third-party payment, hosting, communications, analytics, and artificial-intelligence providers.

06Confidentiality and security

Each party will use reasonable care to protect the other’s non-public information and use it only to perform or receive the Service, exercise rights, or comply with law. No system is completely secure. Customer is responsible for backups, access controls, endpoints, retention choices, and incident-response processes.

07Suspension, termination, and changes

We may suspend or terminate access for a security risk, unlawful use, breach, harm, or unpaid amount. We may modify, limit, or discontinue features and will give reasonable notice of material adverse changes where practicable. Stopping use does not cancel accrued charges or create a refund. Payment, ownership, confidentiality, disclaimers, indemnity, liability limits, and dispute terms survive.

08Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” LURION DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RESULTS, AND QUIET ENJOYMENT.

LURION DOES NOT WARRANT UNINTERRUPTED, SECURE, OR ERROR-FREE SERVICE; DETECTION OR PREVENTION OF ANY SCAM, FRAUD, IMPERSONATION, DEEPFAKE, LOSS, OR SECURITY EVENT; OR THE ACCURACY, COMPLETENESS, TIMELINESS, OR SUITABILITY OF ANY WARNING, SCORE, TRANSCRIPT, REPORT, OR SUGGESTION. CUSTOMER ASSUMES THE RISK OF USE AND RELIANCE.

09Indemnification

To the maximum extent permitted by law, Customer will defend, indemnify, and hold harmless Lurion and its affiliates, personnel, and agents from third-party claims, losses, liabilities, damages, penalties, costs, and reasonable attorneys’ fees arising from Customer Content; Customer’s or its users’ use or misuse; Customer’s monitoring, recording, employment, privacy, security, or business practices; violation of law, these Terms, or third-party rights; or decisions based on the Service. Customer may not settle in a way that admits Lurion’s fault or imposes obligations on Lurion without written consent.

10Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LURION AND ITS AFFILIATES, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OPPORTUNITY; SUBSTITUTE SERVICES; OR LOSSES FROM FRAUD, IMPERSONATION, SECURITY EVENTS, CUSTOMER DECISIONS, OR RELIANCE ON OUTPUTS.

THEIR TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE FEES CUSTOMER PAID DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR $100. These limits apply under every legal theory and even if a remedy fails, but do not limit liability that cannot lawfully be limited, including fraud or willful misconduct where applicable.

11Florida law and disputes

Florida law governs these Terms, without conflict-of-law rules. State and federal courts located in Pinellas County, Florida have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES TRIAL BY JURY AND WILL BRING CLAIMS ONLY INDIVIDUALLY, NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Before filing, a party must give written notice and allow 30 days for good-faith resolution, except for urgent injunctive relief. Send notices to founders@lurion.org.

12General

Lurion is not liable for events beyond its reasonable control. Customer may not assign these Terms without consent; Lurion may assign them with a merger, acquisition, financing, reorganization, or asset sale. The parties are independent contractors. If a term is unenforceable, it will be modified minimally and the remainder remains effective. Waivers must be written. These Terms and signed incorporated agreements are the entire agreement.

We may update these Terms by posting a revised version and date. We will give reasonable notice of material changes affecting an active paid subscription. Continued use after the effective date accepts the revision; otherwise, stop using and cancel.
